One Time Settlement (OTS) vs SARFAESI: Which Recovery Route Makes Sense?

Not every non-performing account is best resolved through enforcement. A One Time Settlement can, in the right circumstances, recover more value faster than a contested SARFAESI process. Choosing between the two is a commercial decision that should be made with clear legal input, not by default.

What an OTS Actually Offers

An OTS lets the lender accept a negotiated lump sum, often less than the full outstanding amount, in exchange for closing the account and releasing security. Its appeal is certainty and speed: no possession proceedings, no auction risk, no tribunal timeline.

When SARFAESI Is the Stronger Option

Where the secured asset has strong, realisable value, and the borrower is unresponsive or uncooperative, enforcement through SARFAESI often recovers more than a borrower would ever offer voluntarily in settlement. It also does not depend on the borrower's willingness to negotiate.

When an OTS Makes More Sense

Where the security is difficult to sell, heavily contested, or likely to attract prolonged litigation, or where the borrower has genuine repayment capacity but a temporary setback, an OTS can close the account faster and avoid the cost and uncertainty of enforcement altogether.

Running Both Tracks in Parallel

It is common, and often prudent, to initiate SARFAESI proceedings while remaining open to a settlement offer. The pressure of enforcement frequently brings a more realistic settlement offer to the table than would otherwise be made.

Getting the Terms Right

Whichever route is chosen, the settlement or enforcement terms need to be documented precisely, particularly where a partial waiver is involved, so that the closure is legally final and cannot be reopened later. This is where recovery counsel adds the most value in an OTS: not in the negotiation itself, but in making sure the settlement actually closes the matter.
